1. OUR SERVICES

EaseReel is an AI-powered platform that generates short-form videos for social media. The Services include AI script writing, image generation, voice synthesis, voice cloning, AI digital avatars, social media auto-posting, and video assembly. Features vary by subscription tier.

2. ELIGIBILITY

You must be at least 18 years of age or the equivalent minimum age as specified by law in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this age requirement. If you are under the required age, you may not create an account or use the Services.

3. USER ACCOUNTS

To access certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• Maintain only one account per person. Creating multiple accounts to abuse free credits or promotions is prohibited.

We reserve the right to suspend or terminate your account at our discretion, including for violation of these Terms.

4. SUBSCRIPTIONS & PAYMENTS

• EaseReel offers free credits for new users, paid subscription plans (Basic, Standard, Pro), and one-time credit packs.
• Paid subscriptions are billed monthly through Stripe and renew automatically.
• Credits are allocated monthly and reset at the start of each billing cycle. Unused plan credits do not roll over.
• Credit packs are one-time purchases. Pack credits are added to your balance, do not expire, and are not reset by your monthly billing cycle. They remain available for as long as your account is active.
• Credits (whether included in a plan, purchased as a pack, or granted as a promotion) have no cash value, are not redeemable or exchangeable for money, and are not transferable between accounts.
• Credits are deducted when a generation is submitted. If a generation fails, the credits for that attempt are automatically returned to your balance. Each new attempt is charged again.
• You may cancel your subscription at any time through the Stripe Customer Portal. Access continues until the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact support@sensiblysmartllc.com for refund requests.
• We reserve the right to change pricing with 30 days' advance notice.

5. CONTENT OWNERSHIP & LICENSE

5.1 Your Content

You retain ownership of any content you upload to the Services (e.g., voice samples, face images, custom topics). By uploading content, you grant EaseReel a limited, non-exclusive, royalty-free license to process it solely for the purpose of providing the Services.

5.2 Our Intellectual Property

The Services, including all software, design, text, graphics, logos, and other materials, are owned by or licensed to Sensibly Smart LLC and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

6. AI-GENERATED CONTENT

Videos, scripts, images, and audio generated by EaseReel using AI are provided to you for your use. You may use AI-generated content for personal and commercial purposes, including posting to social media platforms. However, you acknowledge and agree that:

• No guarantee of uniqueness. AI-generated content may not be unique. Similar content may be generated for other users.
• No guarantee of accuracy. AI-generated content may contain errors or inaccuracies.
• No IP guarantee. We do not guarantee that AI-generated content is free from third-party intellectual property claims.
• No endorsement. AI-generated content does not represent the views, opinions, or endorsements of Sensibly Smart LLC.
• Your responsibility. You are solely responsible for how you use and distribute the generated content, including ensuring compliance with platform-specific content policies.

7. VOICE CLONING & AI AVATARS

• You may only clone voices and create AI avatars using your own voice/likeness or with explicit, documented consent from the person whose voice/likeness is used.
• You represent and warrant that you have obtained all necessary consents and rights before uploading any voice samples or face images.
• You are responsible for ensuring compliance with all applicable laws regarding synthetic media in your jurisdiction, including but not limited to deepfake disclosure laws.
• EaseReel is not liable for any claims arising from your misuse of voice cloning or AI avatar features.

8. SOCIAL MEDIA AUTO-POSTING

EaseReel allows you to connect third-party social media accounts (TikTok, YouTube, X/Twitter) and enable auto-posting of generated content. By using this feature, you acknowledge and agree that:

• You authorize EaseReel to post content to your connected social media accounts on your behalf.
• You are solely responsible for all content posted through the auto-posting feature, including compliance with each platform's terms of service and community guidelines.
• EaseReel is not liable for any consequences resulting from content posted to your social media accounts, including account suspensions, content removals, or third-party claims.
• You may disconnect any social media account and disable auto-posting at any time.
• We do not guarantee the availability or reliability of third-party platform APIs. Posting may fail due to platform outages, API changes, or rate limits beyond our control.

9. ACCEPTABLE USE

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are solely responsible for your use of the Services and any content you submit or generate through them.

10. PROHIBITED ACTIVITIES

You may NOT use EaseReel to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Create deepfakes or impersonate real individuals without their explicit consent
• Generate content that infringes on third-party intellectual property rights
• Distribute spam, misinformation, or deceptive content
• Attempt to circumvent credit limits, abuse free trials, or exploit the Service
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use automated tools or bots to access the Service without authorization
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use the Services to develop competing products or services
• Attempt to gain unauthorized access to other users' accounts or data
• Use the Services to generate spam, phishing content, or malware

We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending accounts, and reporting to law enforcement.

11. THIRD-PARTY SERVICES

The Services integrate with or rely on third-party services including but not limited to Stripe (payments), Google (authentication), AWS (infrastructure and AI), ElevenLabs (voice synthesis), Resend (email), and social media platforms (TikTok, YouTube, X/Twitter). We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to those third parties' terms and policies.

12. SERVICE AVAILABILITY

We strive to provide reliable service but do not guarantee 100% uptime. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. AI generation results may vary in quality and are not guaranteed.

13. TERMINATION

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and associated data, subject to our data retention obligations
• Provisions of these Terms that by their nature should survive termination will survive (including Sections 6, 7, 8, 14, 15, 16, and 17)

You may terminate your account at any time by contacting us at support@sensiblysmartllc.com. If you have an active paid subscription, cancellation will take effect at the end of your current billing period.

14. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICES WILL BE CORRECTED
• AI-GENERATED CONTENT WILL BE FREE FROM INTELLECTUAL PROPERTY CLAIMS

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENSIBLY SMART LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OF OR INABILITY TO USE THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY AI-GENERATED CONTENT OR YOUR RELIANCE THEREON
• ANY CONTENT PUBLISHED TO THIRD-PARTY PLATFORMS THROUGH THE AUTO-POSTING FEATURE
• ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED THROUGH THE SERVICES

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Sensibly Smart LLC and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content, including uploaded voice samples and face images
• Content published to social media platforms through the auto-posting feature
• Your misuse of voice cloning or AI avatar features, including creating synthetic media without proper consent

17. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.

18. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date at the top. If we make material changes, we may notify you by prominently posting a notice or by directly sending you a notification. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
